Fees and Payment

We retain ownership of:

• Pre-existing intellectual property, tools, frameworks, and methodologies
• General knowledge, skills, and experience gained during the project
• Reusable components, libraries, and code not specific to your project

You grant us a non-exclusive, royalty-free license to use any materials you provide for the purpose of delivering services to you.

Our website content, including text, graphics, logos, images, and software, is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our website content without our express written permission.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. Confidential information includes but is not limited to:

• Customer lists and business relationships
• Trade secrets and proprietary methodologies

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties without confidentiality obligations.

The confidentiality obligation survives termination of our business relationship and continues for a period of five years.

Warranties and Representations

We warrant that:

• Services will be performed in a professional and workmanlike manner
• We have the necessary skills, experience, and resources to provide the services
• Our work will not infringe upon the intellectual property rights of third parties
• We will comply with applicable laws and regulations in performing services

You warrant that:

• You have the authority to engage our services and enter into agreements

• You have the necessary rights to any materials you provide to us
• Your use of our services complies with applicable laws

EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SERVICE AGREEMENT, WE PROVIDE SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SZECHUAN KITCHEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Szechuan Kitchen, SICHUAN CUISINE LLC, and our officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
